This document establishes the Terms and Conditions (hereinafter, the “Terms”) that govern the quotations, equipment rental, and provision of audiovisual production services by JOE SOLUTIONS (hereinafter, “the Company”) to its clients (hereinafter, the “Client”).
By requesting a quotation, accepting a budget, making a partial or total payment, or signing a contract with Us, the Client expressly and unreservedly accepts all the clauses described herein.
Object of the Service
JOE SOLUTIONS agrees to provide audiovisual equipment rental services (sound, lighting, video, LED screens, structures, stages, power generators) and/or technical assistance and production services for events, as detailed in the formal quotation accepted by the Client.
Validity and Duration of Quotations
Validity: Every quotation issued by the Company is valid for [e.g., 15 or 30] calendar days from its date of issuance. After this period, prices and availability of equipment and support engineers are subject to change without prior notice.
Equipment Reservation: The issuance of a quotation does not guarantee the reservation of equipment or technical personnel. The reservation will only be formalized once the payment conditions stipulated in Clause 3 are met.
Payment and Invoicing Conditions
Unless specified otherwise and in writing in the quotation, the standard commercial conditions are:
Booking Deposit: The Client must pay [e.g., 50%] of the total value of the quotation to freeze the event date and guarantee inventory availability.
Remaining Balance: The remaining [e.g., 50%] must be settled no later than [e.g., 48 hours before or the same day of] the event setup.
Payment Methods: Payments will be made via bank transfer, authorized payment links, or the means explicitly agreed upon in the quotation. The Company will not begin setup without the required payment being duly verified.
Modifications and Cancellations
Modifications by the Client: Any request for changes in technical requirements, quantity of equipment, or event schedules must be notified in writing at least [e.g., 3 or 5] business days in advance. Changes will be subject to inventory availability and may generate additional costs.
Cancellation Policies:
If the Client cancels the service more than [e.g., 7] days in advance of the event, [e.g., 80%] of the deposit will be refunded.
If the cancellation occurs between [e.g., 3 and 6] days in advance, [e.g., 50%] of the deposit will be retained as a penalty, inventory reservation, and lost profits.
If the cancellation occurs less than [e.g., 48] hours prior to setup, there will be no refund of the deposit charged.
Force Majeure: In the event of cancellation due to verifiable force majeure causes (natural disasters, severe public order disturbance, government restrictions), the parties will mutually agree to reschedule the service within the following [e.g., 6] months, subject to availability.
Logistics, Setup, and Dismantling
Access and Permits: The Client is solely responsible for managing and guaranteeing free access, parking, entry permits, work-at-height authorizations (if applicable), and the availability of adequate electrical power at the event venue to perform the setups.
Delivery Times: Delays caused by the event venue, lack of permits from the venue administration, or delays in handing over the space by other providers of the Client, exempt JOE SOLUTIONS from liability for delays in sound/video checks or the start of the event.
Electrical Supply: If the event does not contract power generators directly with Us, the Client must guarantee a stable electrical connection suitable for the requested technical requirements. The Company is not responsible for technical failures derived from voltage fluctuations or venue power outages unrelated to our equipment.
Use, Care, and Responsibility of the Equipment
Rental with Technical Operation: When the rental includes technical personnel and engineers from JOE SOLUTIONS, the handling of the equipment will be exclusively managed by our staff. The Client may not operate, alter, or move the equipment without authorization.
Dry Hire (Without Operation): If the equipment rental is agreed upon without technical personnel, the Client assumes full responsibility for the custody, correct operation, and safety of the equipment from the moment of delivery until its return.
Damages and Losses: The Client will be financially responsible for any mechanical or electronic damage, aesthetic breakage, theft, or total loss of the rented equipment occurring during the event period, provided that such damages are caused by event attendees, Client personnel, or structural/electrical deficiencies of the venue. The Client must pay the commercial replacement or repair value of the affected equipment.
Insurance and Civil Liability
In compliance with our corporate security policies, JOE SOLUTIONS has [specify if you have insurance policies, e.g., third-party liability policies and technical insurance applicable to large-scale setups].
However, such coverage does not exempt the Client from civil or criminal liabilities derived from the behavior of their guests, failures of the establishment chosen for the event, or operational negligence external to our staff.
Intellectual Property and Copyrights
The Client declares to hold the current licenses, permits, and copyrights (for example, payments to Sayco and Acinpro in Colombia if applicable, or equivalent entities) for the reproduction of music, videos, brands, or multimedia content projected or played during the event. JOE SOLUTIONS acts solely as a technical provider and is not responsible for intellectual property infringements committed by the Client.
Jurisdiction and Applicable Law
These Terms and Conditions are governed by the laws of the United States, California. Any controversy arising from the interpretation or execution of these terms, which cannot be resolved by mutual agreement, will be submitted before the judicial authorities or conciliation centers.
